Terms

1. Who we are
The website shadowrack.eu and the Shadow Rack app belong to Shadow Marcin Klaman, ul. Okólna 128/7, 87-100 Toruń, Poland, NIP (tax ID) PL8792072892, REGON 340271069 ("we"). Contact: hello@shadowrack.eu.
These terms cover using the website, the customer account and the Shadow Rack app, including its licence.
2. Words used here
- Website - shadowrack.eu, its documentation and changelog.
- App - Shadow Rack for macOS with its parts (modules): Rack FX, Rack IEM and the WING Extension. Everything is all three.
- Licence - the right to use the app and the modules you buy.
- Account - your customer account on the website, with your licences, downloads and activated Macs.
- Consumer - a natural person buying or using the website not directly for their business or profession. Under Polish law, a sole trader for whom the contract isn't of a professional nature is treated like a consumer.
3. What we provide online
- Reading the website, the documentation and the changelog - free, no sign-up.
- An account - free, after signing up. It runs for an indefinite time; you can end it at any time by writing to us, and we delete it within 14 days. Licences bought through it remain valid, and we restore access to them on request.
- A newsletter - only if you tick it. You unsubscribe at any time in your account settings or by writing to us.
The website needs an up-to-date browser with JavaScript and an internet connection. The app needs an Apple Silicon Mac with macOS 12 Monterey or later; each module's further requirements are in the documentation.
You may not send unlawful content through the website or try to disrupt it.
4. Buying
Licences are sold by Moonbase (moonbase.sh) as the reseller and merchant of record. You enter the sales contract with Moonbase, on its terms shown at checkout. Moonbase takes the payment, charges the taxes and issues the receipt or invoice.
Prices on the website include VAT. The final amount, with the taxes for your country, is shown before you pay.
The licence is delivered at once after payment: it appears in your account, and you activate the app by signing in with that account.
5. The licence
- The licence is perpetual and non-exclusive. It isn't a subscription.
- One licence can be active on 3 Macs at a time. You free a Mac in the app or in your account, and can then activate another one.
- The licence covers the modules you buy. You can add modules at any time.
- The app checks the licence when it starts, if there's internet - never while it runs. A Mac that hasn't been online for 60 days asks to go online. A Mac that never has internet is activated with a file and doesn't need to go online later.
- The licence covers the app in the version available when you buy it and the updates we release for that licence. The version you bought keeps working when a new one comes out.
- You can transfer the licence to someone else after agreeing it with us by e-mail.
You may not share your sign-in details or licence files, get around the licence protection, rent out or resell the app without our consent, or decompile it except where the law allows.
Third-party VST3 plugins you use in the app are under their makers' licences. Other companies' product names (e.g. Behringer WING, VST) belong to their owners; Shadow Rack isn't affiliated with them.
6. Withdrawal
A consumer can withdraw from a distance contract within 14 days without giving a reason. A licence is digital content delivered at once: the right of withdrawal ends when delivery has started with your express consent before those 14 days are over, after you acknowledged that you lose the right of withdrawal. You give that consent and acknowledgement at checkout, and it's confirmed in the message after your purchase.
7. Conformity and complaints
Consumers have the statutory rights for digital content that doesn't conform to the contract - including having the app brought into conformity and, if that fails, a price reduction or ending the contract.
Send complaints about the app, the account or the website to hello@shadowrack.eu: say what doesn't work, with your account e-mail and the app version. We answer within 14 days. Matters about the payment itself (a double charge, say) we pass to Moonbase, or you can raise them with Moonbase directly.
8. Liability
Shadow Rack is built for live use and we do everything we can to make it reliable, but no software is free of faults, and it also depends on the Mac, the audio interface, the system and third-party plugins. So check your whole setup at a rehearsal before a show and keep a fallback plan.
Towards businesses (not treated as consumers) we aren't liable for lost profits, and our liability is limited to the price paid for the licence, except for damage caused intentionally. Towards consumers we are liable as the law provides - these terms don't limit their rights.
9. Disputes
Contracts are governed by Polish law. This doesn't take away the protection a consumer has under the law of the country where they live. Disputes with businesses are settled by the court competent for our registered address.
10. Changes
We may change these terms for good reasons (a change in the law, new features, a change in how we sell). We announce changes on the website, and to account holders by e-mail as well, at least 14 days ahead. Changes never make the terms of a licence you already bought worse. If you don't accept a change, you can delete your account.
